These Terms and Conditions (“Terms”), between Verkada Inc. (“Verkada”) and the organization (“Organization”) on whose behalf you are submitting, or have submitted, an application form at https://www.verkada.com/cloud-transition-program/ (“Program Website”), govern your Organization’s participation in the limited-time Verkada Cloud Transition Program described on the Program Website (“Program”). By submitting the application form on the Program Website, you represent and warrant that: (i) you have full legal authority to enter into these Terms on behalf of your Organization; and (ii) you agree to these Terms on behalf of your Organization. If you do not have legal authority to enter into these Terms or do not agree to these Terms, please do not submit the application form. These Terms are effective as of the date (“Effective Date”) you submit the application form for your Organization on the Program Website.
To be considered for the Program, your Organization must meet all the following eligibility requirements as of the Effective Date, other than the minimum Verkada camera purchase requirement, which applies to the purchase transaction containing the discount offered through this Program:
Your Organization must purchase a minimum of 100 Verkada cameras in a single transaction;
Your Organization must be a new Verkada customer; and
Your Organization’s qualifying cameras (defined below) must be under 3 years old, as evidenced by a dated purchase order.
You must complete and submit an application form on the Program Website for your Organization to be considered for the Program. Verkada will review the submission and approve or reject your Organization for participation in the Program. You must furnish any documentation reasonably requested by Verkada to substantiate your Organization’s eligibility for the Program. Approval is solely in Verkada’s discretion.
Once your Organization has been approved for the Program, you must identify which of your Organization’s existing cameras are to be replaced by Verkada camera products, are no more than 3 years old, and may be considered for a discount off your Organization’s purchase of replacement Verkada camera products (such existing non-Verkada cameras, “qualifying cameras”). You agree to furnish all pertinent information for these qualifying cameras upon Verkada’s request (including providing supporting documentation if requested), including but not limited to a dated purchase order or contract for these cameras and other information about their value, such as their quantity, storage capacity, quality, and age. Based on its review of this information and any other factors it deems relevant, Verkada may offer your Organization a one-time discount (in the form of a discount provided to your Organization’s selected Verkada reseller) off its purchase of replacement Verkada camera products. Each qualifying camera may be used to receive a discount on only one Verkada camera product. Discount amounts are determined solely at Verkada’s discretion, may be subject to further verification requirements, and may be adjusted or withdrawn at any time prior to a completed purchase transaction.
Your Organization warrants that all qualifying cameras are in good working order and fully operational. Your Organization is solely responsible for decommissioning its qualifying cameras, including downloading any footage or other data it seeks to retain from those cameras. Verkada may discontinue this Program at any time and any unused discount offers will automatically expire upon Program termination.
